Welcome to Mega Studios. These Terms and Conditions (“Terms”) govern the professional relationship between Mega Studios (“the Agency,” “we,” “us”) and our clients (“the Client,” “you”). By engaging our services, you agree to be bound by the following terms.

1. Scope of Services

Mega Studios provides a range of digital services including, but not limited to:

A detailed Scope of Work (SOW) will be provided for each project. Any tasks requested outside of the initial SOW will be treated as a change request and may incur additional fees.

2. Client Responsibilities
 

To ensure project timelines are met, the Client agrees to:

  • Provide necessary access to hosting, domain registrars, and existing CMS platforms.
  • Supply all brand assets, images, and copy unless otherwise specified in the SOW.
  • Provide timely feedback on milestones. Delays in feedback exceeding 7 business days may result in a shift in the final delivery date.
 
3. Payment Terms
 
  • Deposits: A non-refundable commencement fee (typically 50%) is required before work begins.
  • Milestones: Remaining payments are tied to specific project milestones or a final completion date.
  • Late Payments: Invoices not paid within 14 days of the due date may result in a temporary suspension of services or a late fee of 2% per month on the outstanding balance.
4. Intellectual Property
 
  • Ownership: Upon receipt of final payment, the Client owns the rights to the finished website, design assets, and marketing content created specifically for them.
  • Agency Rights: Mega Studios retains the right to display the completed project in our professional portfolio and marketing materials unless a Non-Disclosure Agreement (NDA) specifies otherwise.
  • Third-Party Assets: Any third-party software, fonts, or plugins used remain the property of their respective owners and may require separate licensing fees paid by the Client.
 
5. SEO & Performance Disclaimer
 

While Mega Studios utilizes industry-standard “white-hat” SEO techniques and data-driven marketing strategies, we do not guarantee specific rankings or a set number of clicks/conversions. Search engine algorithms and market conditions are subject to change, and results can vary based on competition and industry trends.

6. Confidentiality
 

Both parties agree to protect and keep confidential all proprietary information, trade secrets, and business data shared during the course of the engagement.

7. Termination
 
  • Either party may terminate the agreement with 30 days’ written notice.
  • If the Client terminates the project early, they are responsible for payment for all work completed up to the date of termination.
  • Mega Studios reserves the right to terminate the agreement immediately if the Client breaches these Terms.
8. Limitation of Liability
 

Mega Studios shall not be held liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising from the use of our services or third-party platform outages.
